The Corporate Counsel will report to and assist the Senior Corporate Counsel on a broad array of corporate legal issues, primarily including Securities Exchange Act reporting, securities offerings, corporate governance and other general corporate legal matters. The Corporate Counsel may also support the Vice President, Legal on M&A and investment transactions from time to time. The Corporate Counsel will be an integral part of the Company’s legal team, working closely with various business functions (including finance and accounting, treasury, tax and HR) and external counsel to provide practical and expert legal advice.
Responsibilities and Duties
Advise on public company compliance with U.S. federal securities laws and reporting, including the preparation and review of periodic reports, proxy statements and other filings.
Preparation of board of director and committee meeting materials, including working with finance, tax and HR to gather and assess information.
Coordinate internal corporate projects, including preparation of board resolutions, intercompany agreements and maintenance of corporate entities.
Provide support for M&A and financing transactions.
Provide well-reasoned and practical advice and support on various legal matters to other members of the legal team and senior management.
A J.D. from a nationally recognized law school and excellent academic credentials.
Admission in good standing to a State Bar of any jurisdiction in the United States, and the ability to register as authorized house counsel in Connecticut.
2-3 years of relevant job experience
Public company securities and general corporate work experience gained through work in a major law firm or corporate law department.
M&A experience is a plus.
Proactive, energetic, self-assured professional with high personal integrity.
Good judgment, strong work ethic and an interest in building relationships within the Booking Holdings organization and global business units.
Ability to identify and address legal issues while coupling legal advice with pragmatic business solutions.
Top-notch organizational skills and attention to detail with the ability to successfully manage and meet deadlines.
Excellent verbal and written communication skills.
Ability to read and understand financial statements.
